(Mexico), Koywe SAS (Colombia), Koywe SAC (Peru), Alerce Argentina S.R.L. (Argentina) respectively, hereinafter referred to as "Koywe" and the user, hereinafter "you" or the "User". In these Terms of Use, when referring to Koywe, it includes its owners, directors, administrators, investors, employees, or any natural or legal person related. Depending on the context, Koywe may also refer to the services, products, content, or any material that Koywe provides on the Site or outside of it, through its Apps.
By using or browsing the Site, by registering with a User account on the Site (the "Account"), or using any of the services that Koywe may make available to the User on the Site or in the App, you are accepting and, therefore, personally obligated to comply with these Terms of Use. By accepting these Terms and Conditions, it implies that you have been clearly, understandably, and unequivocally informed of these terms and understand that they are legally binding and mandatory. Therefore, before taking any action on or through the Site or App, you must carefully read all the Terms of Use and the Privacy Policy, and if you do not agree, you must refrain from continuing to use it.
In other words, by opening an account on the Site and becoming a Registered User, you expressly warrant that:
The Site corresponds to a web platform intended to provide the Cryptocurrency ramp service - such as Bitcoin, Ether, Matic, or USD Coin, among others - (the "Service" or the "Platform"), which allows Users to buy and sell Cryptocurrencies (digital assets), either directly between the User and Koywe, or through a mandate given by the User to Koywe for these purposes.
Koywe, by implementing its payment gateway platform, offers the Service, which Users access either directly or through a third-party website – commerce or legal entity – integrating the Koywe platform for receiving and executing Cryptocurrency payments. Koywe is a service that operates by connecting blockchain networks. This allows each transaction you make to be identified and recorded on the blockchain network. In this way, transactions function as a ledger that records each movement made by each User and, therefore, every movement Users make with their Cryptocurrencies.
First and foremost, it is your responsibility to ensure that you are accessing our official website by following these steps:
All communication in Koywe is encrypted, and that is what the "lock" signifies.
By accepting these Terms and Conditions, and unless it is a direct purchase of Cryptocurrencies between Koywe and the User, you explicitly grant Koywe the power to act on your behalf as your Commercial Agent and execute Cryptocurrency orders according to your instructions. As a Commercial Agent, Koywe purchases Cryptocurrencies on your behalf and sends or delivers them to the electronic wallet address you specify when subject to these Terms and Conditions. In these cases, at no time will Koywe be in possession or control of the User's assets. Koywe DOES NOT provide electronic wallets or act as a custodian of Users' funds or assets. Purchase orders are independent and are executed individually, one by one. Koywe may include any other Cryptocurrency in its platform at any time, just as it may remove any Cryptocurrency that, in Koywe's discretion, does not meet the necessary security standards to operate on the payment gateway. Therefore, Koywe is not obligated to add or cease support for other Cryptocurrencies different from the current ones. Koywe does not provide any type of financial advisory service, nor does it have "agents" or "advisors" offering advisory or management services on User accounts. It also does not have any alliances or relationships with companies offering financial advisory services involving or not involving transactions with cryptocurrencies. Likewise, we don ́t act through intermediaries. A User's account at Koywe is personal, unique, and non-transferable. Therefore, Koywe will never ask for your personal information or documentation to create an account on your behalf on the website or manage it. The registration, acceptance of these terms, and account management are the exclusive prerogative of the User who owns the account.
You accept that Koywe may be prevented from offering these services due to reasons beyond its control or will. Service interruptions may occur for the following reasons:
You accept that all these operations are subject to a service charge or transaction costs informed by Koywe, duly published on the Site. For the purposes of the Site and the Terms of Use, the word "transact" and/or "transaction" means interchangeably crediting, buying, selling, and/or withdrawing legal tender currencies (such as, but not limited to: CLP, COP, MXN, etc.) or cryptocurrencies.
Notwithstanding that the Site is intended for Users in the Republic of Chile, the Republic of Colombia, the Republic of Peru, the federal Republic of Argentina and the United Mexican States, depending on the country of residence, it may happen that a User does not have the possibility to use all the functions of the Site. Even depending on nationality, country of residence, or the country issuing the User's identity document, Koywe may be prevented from providing the Service or may reserve the right to do so, in compliance with the regulations of that country. Currently, Koywe reserves the right to admit as Users all those who could be considered US persons (understood as a citizen or resident in the United States of America, and even someone who, without residing, possesses an identity document issued by the United States of America, according to the legal definition of US Persons for Money Services Business regulations). In this way, you accept that Koywe operates within the legal framework of the country where you are, and the functionalities of the platform will be affected depending on the availability of the service that each country allows. Registered User Accounts, Verification When registering as a Registered User on the Site, you agree to provide us with your full name and email address. This information must be truthful, accurate, and up-to-date. Also, by using Koywe's services and accepting these Terms and Conditions, you agree to use the Services on your own behalf, not for the benefit of third parties, and you are responsible for all activity on your account.
Additionally, to use Koywe's Services, in the account creation process, you must provide information to verify your identity and detect any attempt at money laundering or terrorism financing, fraud, or any other financial crime, and allow Koywe to store records of that information.
Koywe reserves the right to perform these verifications periodically, in accordance with the legislation in force in each country, to keep the registered information updated.
Any change in your contact information is your responsibility, and therefore, we request you to update it for any changes and periodically, as it is through it that we will attempt to contact you for any necessary circumstances. Additionally, by registering as a User, you authorize Koywe to, directly or through third parties, conduct inquiries, consultations, cross-referencing of databases, and any other action that we consider pertinent to verify your identity, as established in the Privacy Policy, and to comply with current provisions on money laundering prevention, terrorism financing, bribery of public officials, and/or protect us against fraud. To register as a Registered User and verify the Account, you must validate your email address by entering a numeric code that will be automatically sent by Koywe to the indicated address. Entering the correct code will open a session in your browser, and it will not be necessary to validate your email again until after 24 hours. The User is responsible for maintaining the confidentiality of their email inbox, and therefore responsible for the information and the use of their Account. Furthermore, by registering, you accept the responsibility of maintaining control over the security of any information, IDs, passwords, or any code that you use to access the Platform and App and never share them with third parties.
Account verification involves you providing personal information for Koywe to verify that the person registering on the Site is indeed the person they claim to be and can validate that the origin of the funds transacted by that person is legitimate and belongs to them. For this purpose, Koywe has tools that allow it to achieve this result, and there will be a distinction, especially for those individuals wishing to transact significant amounts or not through the Site. Koywe reserves the right, as the case may be, and at its own discretion, following the instructions of the relevant authority, particularly the Chilean Financial Analysis Unit or its equivalent in the corresponding country, to estimate the amount from which it considers it relevant, as well as the denomination of this amount (CLP, COP, MXN, ARS, bitcoins, ether, matic, USD Coin, etc.). Koywe reserves the right to request all the information it deems relevant and necessary for the User to transact or operate any of the services it provides. If this information is not provided or is not truthful, the User understands that they could be reported to the authorities in accordance with the legal regulations of the country where the operation takes place. In the event of finding or suspecting any inappropriate activity related to your Account, Koywe may request additional information, including document authentication, or freeze transactions for review. You are obliged to comply with these requests, or you accept that, otherwise, your Account may be closed and/or reported, as the case may be. Also, in these situations, you must immediately contact Koywe as indicated in the Contact section below.
The Account is personal, unique, and non-transferable, and it is prohibited for the same Registered User to register or possess more than one account or allow third parties to access the services offered by Koywe through their account. In the event that Koywe detects different accounts containing coincident or related data, it may cancel, suspend, or disable them. The Registered User who violates any of these rules may be removed from our Site, with the consequent closure of their Account. Additionally, they may be responsible for losses incurred by Koywe or any other Registered User of the Site, or any person in general, resulting from this violation. However, despite having strict security controls on the Site, the User declares that they will not use other accounts or assist third parties in gaining unauthorized access to them without prior and express authorization from Koywe. Unauthorized use of accounts other than one's own will result in the immediate suspension or closure of all involved accounts, as well as pending buy and/or sell orders. Any attempt to do the above or assist third parties (Registered Users or not) in the unauthorized use of accounts, whether by distributing instructions, software, or tools for this purpose, will result in the immediate closure of the respective accounts. The closure of an account for these reasons will immediately translate into the closure of access to the Koywe API or to the Widgets that have been granted to the User. The closure or termination of accounts is not the only action that Koywe can take as a consequence of the contravention or violation of what is indicated here, as well as in other sections of the Terms of Use, so Koywe reserves the right to take any other action against the persons involved. The User accepts and declares that they will not use their Account or the Site to carry out illegal or criminal activities of any kind, including but not limited to money laundering, terrorism financing, financial terrorism, malicious hacking, violation of exchange and transfer provisions, evasion or violation of tax provisions, etc. Due to its highly personal nature, you accept that the sale, assignment, or transfer of the Account is prohibited.
**Risks Related to Cryptocurrencies and Site Usage** The purchase of goods or products, real or virtual, as well as money or currencies, entails significant risk. The prices of these can change over time and due to various events. As a result of these price variations, the value of your assets can increase or decrease dramatically at any time and without prior notice. You understand that Koywe has no influence on that value, providing only the service of a platform for the purchase of cryptocurrencies. By using the Site, you assume, declare, and warrant that you are aware that any commodity or goods, virtual or not, is subject to significant value changes, potentially ending with a value equal to zero. In other words, there is an inherent risk of monetary loss due to the purchase, sale, or exchange of goods in the market, both real and virtual, and the same applies to cryptocurrencies. You understand that it is your duty to inform yourself of these risks and, therefore, assume them in case they materialize.
The ownership of cryptocurrencies is yours and is not transferred to Koywe, nor does it provide custody or electronic wallet services. As the owner of your cryptocurrencies, you are the one who must bear the risk of volatility in their value. Additionally, you declare and accept that the exchange of Cryptocurrencies entails special risks, which are not necessarily shared by freely exchangeable currencies, assets, or products. Unlike currencies or currencies from the rest of the world, which are backed by federal reserves, central banks, governments, or other entities, or by commodities such as gold and silver, Cryptocurrencies rely solely on the backing of technology and the mutual trust of the Users who possess them. In other words, there is no federal reserve, central bank, government, or other entity protecting their value, and it is achieved exclusively through the balance between supply and demand. Koywe has no influence on these market rules. While it is not our mission or intention to precisely define what a Cryptocurrency is and its generation system, we can state, in brief terms, using Bitcoin and Ether as clear references, that it corresponds to a global, decentralized, autonomous, self-regulating system through which a virtual commodity or digital asset called Cryptocurrency is generated and circulated. Its value is based on the trust that Users place in the system. Given the nature of Cryptocurrencies and the technology on which they are based, it is important to understand that transactions carried out on the Blockchain or ledger of each Cryptocurrency are impossible to reverse for Koywe. For this reason, by accepting these Terms of Use, you understand that it is not possible to reverse, cancel, or change the relevant data when executing operations within the Koywe application. In this regard, you declare that you are aware and accept that the trade or exchange of Cryptocurrencies could be susceptible to irrational (or rational) bubbles, subject to a loss of trust, and consequently, could lead to a collapse or downturn in demand relative to supply. As an example, though scenarios may vary, trust in Cryptocurrencies could collapse due to an unexpected change imposed by a software developer, the prohibition that any government or state may impose on it, the creation of a technically superior alternative, or simply due to an inflationary or deflationary spiral. Likewise, trust in Cryptocurrencies could collapse due to potential technical issues, such as if the money of owners or individuals interacting or operating with Cryptocurrencies were stolen or lost, or if hackers or governments impose limitations on transactions. Regarding the buying and selling transactions of Cryptocurrencies, you understand and accept that the price indicated in the buying/selling quotation within Koywe is an approximation of their market value, which may change (even for the moment the respective buying or selling order is placed or between placing the order and executing it) as market conditions change. Furthermore, you understand and accept that you are solely responsible for the type of buying or selling order of Cryptocurrencies you select, the quantities and values you enter in those orders, and you are also responsible for informing yourself about how each type of transaction or order operates within the platform and the characteristics and risks that each type of order entails in the event of a lack of liquidity, sudden price drops or increases, lack of market depth, high spread between the buy and sell books, market suspensions, operational failures, etc. Since Users, through their orders, voluntarily determine the buying and selling price of Cryptocurrencies exchanged on Koywe, it is not possible for the latter to guarantee a price in the respective quotation. Therefore, once orders are entered into the Platform and processed as completed or pending, it is not possible to cancel, reverse, or change those orders. Each User is responsible for maintaining a sufficient balance of legal tender and/or Cryptocurrencies to avoid situations where the costs associated with withdrawing Cryptocurrencies or legal tender exceed the net amount of that withdrawal. Also, Users will be responsible for the information provided to carry out transactions to or from a Cryptocurrency wallet external to Koywe. Therefore, if the information provided by the User for these transfers or receipt of Cryptocurrencies to or from Koywe wallets is incorrect or does not correspond to the specific type of Cryptocurrency being sent or received, you accept that this may result in the total loss of those sent or received Cryptocurrencies. Koywe reserves the right to delete, refuse to process, or reverse any Cryptocurrency or legal tender purchase/sale or withdrawal order, at its sole discretion, if Koywe suspects that the order involves (or has a high risk of involving) activities related to money laundering, terrorism financing, fraud, market manipulation, operational abuse, or any type of financial crime, or activity not in accordance with these Terms and Conditions; to report such transactions to the authorities or, if required judicially or administratively by any competent authority. In such circumstances, Koywe will cancel, refuse to process the order, or reverse it without any obligation to allow a subsequent order at the same price or on the same terms as the canceled, refused, or reversed order, if this has been due to an act attributable to the User. Due to the foregoing and, most importantly, you must carefully analyze your financial situation and risk tolerance before buying or selling Cryptocurrencies on the Site. By accepting these Terms of Use, you acknowledge the existence of other risks not considered or identified by this document, which does not hold Koywe responsible for the realization of these risks. Changes in Cryptocurrency-Supporting Protocols ("Forks"): Koywe has no control or influence over the software protocols that govern the use of Cryptocurrencies offered on our platform (the "Protocols"). These Protocols are open source, so anyone can use, copy, modify, and distribute them. Koywe assumes no responsibility for the operation of such protocols and cannot guarantee their functionality or security. Therefore, Koywe will not be responsible for the operation of the Protocols, nor does it guarantee their operation, security, or availability. Additionally, you declare that you are aware that Protocols may be subject to changes in their operating rules ("Forks"), and such changes may materially affect the value, utility, name, and availability of the Cryptocurrency whose protocol is modified. It is your responsibility to stay informed about upcoming operational changes, and you must carefully consider publicly available information and information provided by Koywe to determine if you continue to use a Koywe account. Koywe reserves the right to take necessary measures to protect the security and protection of assets traded on the Koywe platform, including the temporary suspension of operations for the affected digital currency(s), and other necessary measures. Koywe will take all necessary measures to inform about any substantial operational changes; however, due to their nature, such changes may occur without prior notice. Consequently, in the event of a Fork affecting any of the Cryptocurrencies supported by the Platform, you accept that Koywe may temporarily suspend all operations related to it (with or without prior notice from us) and that Koywe may, at its sole discretion, decide to operate (or cease to operate) the underlying Cryptocurrencies that the Protocol modified by a Fork originates. You acknowledge and accept that Koywe will not assume any responsibility for any damage caused by a Fork not supported by the Platform. In the event that Koywe takes a negative stance towards a potential Fork to one of the supported Protocols, or does not state its position regarding it, and a User wishes to participate in the outcome of this, the User must withdraw the Cryptocurrencies from the affected Protocol from their Koywe Account to a wallet that supports the Fork before the scheduled Fork date. Koywe will not assume any responsibility for any attempt to use the Services for Cryptocurrencies that Koywe does not support.
All reports or analyses prepared by Koywe, including the data, estimates, and forecasts contained therein, whether found on the Site or in communications to Registered and Non-Registered Users, are created for general informational purposes and are subject to change without prior notice. In no case should they be construed as advice or recommendations. Their content does not constitute an offer, invitation, or solicitation to buy or sell Cryptocurrencies, or to cancel existing transactions, nor can it form the basis for any commitment or decision of any kind. Before deciding to buy, sell, or hold any digital currency, you must conduct your own due diligence and consult with your financial advisors before making any investment decision. Koywe only provides educational information and is not responsible for the purchasing, selling, or holding decisions of Cryptocurrencies that you make based directly or indirectly on information provided by Koywe for purely illustrative or educational purposes. Therefore, you should be aware that the transactions referred to in some reports may not be suitable for your specific investment objectives, financial position, or risk profile, as these variables have not been taken into account in the preparation of the reports or analyses. You must make your own buying or selling decisions, investments, and/or speculations, taking into account these circumstances. Registered Users may close their accounts at any time once all pending transactions have been settled. To do this, the User must contact contacto@koywe.com, expressing their intention to close their account and terminate this agreement. Likewise, you agree and acknowledge that Koywe may, without prior notice, limit, suspend, or terminate the service and accounts, prohibit access to the Site, its content, services, and tools, restrict or remove stored content, and take technical and legal actions to keep Registered Users out of the Site if it believes they are violating the Terms of Use. Koywe may suspend or close the accounts of Registered Users and/or cancel or reverse orders to buy or sell Cryptocurrencies for any of the following reasons, which are provided only as examples. Therefore, by opening an account, you confirm that you will not use Koywe's services in connection with any of the following activities, practices, or businesses:
Additionally, Koywe expressly reserves the right to cancel and/or close accounts that have not been satisfactorily verified ("Unverified Accounts" or "Disabled Accounts"). The suspension or closure of an account will not affect the payment of service charges accrued and owed for past transactions. Upon closing an account, Registered Users must provide a valid bank account in their name or the unique address of their digital wallet, so that Koywe can make the refund or deposit of any amount owed to the Registered User. This bank account or wallet must be in the name of the Registered User; otherwise, Koywe may refrain from making such payment online, and you must contact Koywe as indicated in the Contact section below. Despite the fact that Koywe will send you information about your account, you are aware that there are service charges and other fees that will be previously notified to Users, which may be applicable to bank transfers and will be automatically debited from your payable balance. Koywe will inform you in advance of these associated costs so that you can give your authorization for them. Also, in the event of canceling or blocking a previously accepted account, for any reason, Koywe will inform or notify you of this decision, except in the case of a requirement or instruction to the contrary by any governmental or state institution, if it complies with the respective legal and/or procedural rules that are applicable. Finally, by creating an account, you accept that the decision to cancel or block your account may be based on confidential criteria essential for Koywe's Compliance and Risk protocols according to its Global AML Policy and Local AML Manuals, so you understand and accept that Koywe is not obliged to disclose details of these internal protocols.
Koywe charges for all transactions that process within our Platform, both for purchases and sales (service charge). On the other hand, there may be associated costs for credits and withdrawals, both in legal tender and Cryptocurrencies, which are charged by banks, payment providers, transfer service providers, and the networks of each of the Cryptocurrencies supported by the Platform. Koywe reserves the right to modify its service charges at any time and to promptly notify the User prior to conducting a transaction. The service charge is communicated to the User and collected in its entirety at the time of the transaction; therefore, there are and will be no subsequent charges associated with it. Koywe informs that there are certain additional transaction costs associated with charges made by the networks or infrastructure behind Cryptocurrencies. However, these costs are adjusted daily according to market rules and will be notified to you in advance at the time of the transaction. You declare to be fully aware of the foregoing and accept it at the time of confirming the transaction. In the event that the User believes that they have been billed for service charges, transaction costs, or fees that, according to the same and these Terms of Use, do not apply to them, the Registered User must contact our Customer Service team to resolve the situation at contacto@koywe.com. You accept and declare that Koywe has the right to offset any amount owed by the User with the amounts that Koywe may owe them, compensation that will occur automatically as defined by Koywe. Purchase of Cryptocurrencies: Each transaction will have two types of fees 1) Network Fees and 2) Koywe's Fee. Network Fees are the fees that each transaction must pay to the validating nodes of the blockchain network for them to enter and process the transaction. These costs are variable and depend on the selected network, the usage it has at that moment, the number of participants at a given time, and other specific factors of each network. Koywe will fully charge transaction costs to the User, using the same market price updated every 10 seconds of their principal purchase. Koywe's fee will depend on the market and asset to be purchased, ranging between 1% and 4.5%.
Sale of Cryptocurrencies: Each transaction will incur a charge by Koywe of 1% on the amount to be sold. Example of a transaction, including Koywe's fee, for the sale of Ether in CLP:
The only authorized payment and credit methods on the Site, unless expressly stated otherwise, may include, though not obligatory for Koywe, the following: Bank Transfer: These must be made to the bank account specified by Koywe and from a bank account owned by the User making the respective deposit or payment. Transfers from third-party bank accounts are not accepted, and failure to comply with this restriction will result in the total refund of funds, less any charges set by Koywe's bank, to the same bank account from which the funds originated. Debit Cards: These payments are governed by these Terms of Use and the terms and conditions established by the issuing bank. Credit Cards: Issued in Chile, Colombia, Mexico, Argentina or abroad, provided they maintain an affiliation contract with Koywe. The use of specific cards is subject to what is established in these Terms of Use, in relation to the issuer, and as agreed in the respective opening and usage regulation contracts. Regarding the bank cards accepted on the Site, aspects such as the issue date, expiration, limit, blocks, secret code, deadlines for making refunds or cancellations will be governed by these Terms of Use and are subject to change without prior notice and at Koywe's discretion. The Site may specify certain purchase conditions according to the User's chosen payment method. Payment Intermediaries: Eventually, and subject to the applicable regulations in each market where Koywe operates, payments made through payment intermediaries may be accepted in particular cases approved by Koywe. Affiliated establishments/platforms will be informed on a case-by-case basis. It is expressly stated that, in compliance with applicable legislation, payments made by Registered Users may be reported to the respective government agency responsible for controlling money laundering and terrorist financing. Also, in case of error or violation by the User of the applicable payment or withdrawal conditions and methods for each country where Koywe provides services—whether these conditions or methods are established within the web platform or within these Terms of Use—Koywe will proceed to refund the funds related to the transaction subject to error to the Registered User's account, who must bear any costs that this refund may generate. Refunds: Regarding all the aforementioned payment methods, Koywe reserves the right to process refund or cancellation requests. In the event that the refund is motivated by the use of an unauthorized payment method or payment made to a blocked account based on these Terms and Conditions of service, Koywe.com will proceed to refund the corresponding funds within a maximum period of 7 business days from the moment the User has provided all the necessary information to process the refund. The User declares to understand and accept the above. Cash payments or payments from accounts belonging to unidentified individuals will not be accepted. Absence of Advice and Fundraising: You declare and understand that Koywe does not offer financial advisory or investment advisory services at any time for you to freely dispose of your money or assets, aiming to generate returns based on Koywe's recommendations. At no time will Koywe provide you with investment suggestions or advice. Additionally, you declare that at no time will Koywe manage or dispose of your Cryptocurrencies or your money to be held or managed by Koywe. Site Availability: You accept and agree that Koywe is not responsible for any damage, harm, or loss to the Registered User caused by system failures, server issues, Internet problems, or Site issues that are not attributable to Koywe. Koywe does not guarantee continuous or uninterrupted access and use of the Site. The system may occasionally be unavailable due to technical difficulties, Internet failures, or any other circumstance beyond or within Koywe's control; in such cases, efforts will be made to restore it as quickly as possible. Intellectual Property: Unless otherwise stipulated, all material on this Site is the property of Koywe and is protected by copyright, trademark rights, and other applicable international laws. The User may review, print, and/or download copies of the material on the Site for exclusively personal, informational, and non-commercial purposes. The Koywe trademark and logo used on the Site (Trademark) are the property of Koywe and its respective owners. The software, texts, reports, images, graphics, information, prices, exchanges, videos, and audios used on the Site (the "Material") are also the property of Koywe, unless expressly stated otherwise. The Trademark and the Material must not be copied, reproduced, modified, republished, uploaded, posted, transmitted, scraped, collected, or distributed commercially, whether automated or manual. The use of any material on another site or computer network, for any purpose other than that of Koywe's Site, is strictly prohibited; any unauthorized use will constitute a violation of copyright, trademark rights, and other applicable international laws, which may result in civil or criminal penalties. API and Widgets: For security and crime prevention reasons, Koywe reserves the right to restrict access to its Application Programming Interface (API) or Widgets granted to the User to display information from the Site on their website. The User is free to use these Widgets as provided by Koywe; without altering or modifying them.
